Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "you") and WAChatAPI ("Company", "we", "us", "our"), the operator of the platform accessible at wachatapi.cloud.
By accessing or using WAChatAPI — including creating an account, integrating our API, or using any feature of our platform — you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use WAChatAPI. If you are using our platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

Description of Service
WAChatAPI is a cloud-based WhatsApp Business API platform that provides businesses access to the WhatsApp Business Cloud API through a managed interface. Our services include:
WhatsApp Business API access and management
Embedded Signup for onboarding business customers to WhatsApp Cloud API
Message sending, receiving, and delivery tracking
Message template creation and management
WhatsApp Business Account (WABA) management
Webhook management and event notifications
Coexistence features (WhatsApp Business App + Cloud API integration)
API documentation and developer tools
Customer support and technical assistance
WAChatAPI operates as an independent Tech Provider on the WhatsApp Business Platform operated by Meta Platforms, Inc. We are not affiliated with, endorsed by, or a subsidiary of Meta Platforms, Inc. or WhatsApp Inc.

Eligibility
To use WAChatAPI, you must meet all of the following requirements:
Be at least 18 years of age
Be a registered business entity or individual operating a legitimate business
Have the legal authority to enter into this agreement
Have a valid Meta Business Account and comply with Meta's terms of service
Not be located in a country subject to applicable trade sanctions or embargoes
Not have been previously suspended or banned from our platform or the WhatsApp Business Platform
We reserve the right to verify your eligibility at any time and to refuse service at our discretion.

Account Registration
4.1 Account Creation
You must create an account to access our platform. When registering, you agree to provide accurate, complete, and current information. You are responsible for keeping your account details up to date.
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You agree to:
Use a strong, unique password for your account
Enable two-factor authentication when available
Not share your account credentials with any third party
Notify us immediately at support@wachatapi.cloud if you suspect unauthorized access to your account
4.3 Account Responsibility
You are fully responsible for all activities that occur under your account, whether authorized by you or not. WAChatAPI will not be liable for any loss resulting from unauthorized use of your account credentials.
4.4 One Account Per Business
Each business entity may only maintain one active account on WAChatAPI unless expressly authorized by us in writing.

WhatsApp Business Platform Usage
Your use of WAChatAPI to access the WhatsApp Business Cloud API is subject to additional requirements from Meta Platforms, Inc.:

By using WAChatAPI, you also agree to comply with:
WhatsApp Business Policy
WhatsApp Commerce Policy
Meta Platform Terms
All other applicable Meta and WhatsApp policies
5.2 End-User Opt-In Consent
You are solely responsible for obtaining valid, documented opt-in consent from all WhatsApp users (your end customers) before sending them any messages through our platform. You must maintain records of such consent and provide them to us upon request.
5.3 Message Templates
All marketing and utility messages sent outside of a customer service window must use pre-approved WhatsApp message templates. You are responsible for ensuring your templates comply with WhatsApp's template policies and are approved before use.
5.4 Messaging Limits
WhatsApp imposes messaging limits based on your phone number quality rating. WAChatAPI will not be liable for messaging restrictions imposed by Meta/WhatsApp due to poor quality ratings, policy violations, or other account issues on your WhatsApp Business Account.
Violation of Meta's WhatsApp Business Policy may result in suspension of your WhatsApp Business Account by Meta, independent of any action we take.

Acceptable Use Policy
You agree to use WAChatAPI only for lawful, legitimate business communication purposes. Acceptable uses include:
Sending transactional notifications (order confirmations, shipping updates, appointment reminders)
Customer support communications
Marketing messages to users who have given explicit opt-in consent
Business-to-customer service conversations
Authenticated notifications (OTP codes, security alerts)
All use must comply with applicable local, national, and international laws and regulations, including data protection laws (GDPR, PDPA, IT Act, etc.) applicable in your jurisdiction.

Prohibited Activities
You must NOT use WAChatAPI for any of the following:
Strictly Prohibited — may result in immediate account termination:
Sending unsolicited bulk messages (spam) to users who have not opted in
Sending messages promoting illegal products, services, or activities
Sending adult content, gambling promotions, or tobacco/alcohol advertisements where prohibited
Harassment, threats, or abusive communications
Phishing, fraud, or any deceptive practices
Impersonating another business, person, or organization
Sending malware, viruses, or any malicious code
Violating any intellectual property rights
Circumventing WhatsApp's messaging policies or rate limits
Reselling or sublicensing access to our platform without written authorization
Using the platform to facilitate human trafficking, exploitation, or child abuse
Any activity that violates Meta's WhatsApp Business Policy or Commerce Policy
Scraping, reverse engineering, or unauthorized access to our systems
We reserve the right to immediately suspend or terminate your account for violation of any prohibited activity, without refund.

Fees and Payments
8.1 Platform Fees
WAChatAPI charges fees for platform access and usage as outlined in our pricing page. All fees are quoted in the applicable currency and are exclusive of taxes unless stated otherwise.
8.2 WhatsApp Conversation Fees
In addition to our platform fees, Meta charges conversation-based fees for messages sent via the WhatsApp Cloud API. These fees are separate from WAChatAPI's charges and are determined by Meta. You are responsible for understanding and paying all applicable WhatsApp conversation charges.
8.3 Payment Terms
Fees are billed in advance on a monthly or annual basis
All payments are non-refundable unless otherwise stated
Failure to pay may result in service suspension
We reserve the right to change our pricing with 30 days' notice
8.4 Taxes
You are responsible for all taxes, duties, and levies applicable to your use of our services in your jurisdiction, including GST, VAT, or any other applicable taxes.

Intellectual Property
9.1 WAChatAPI Property
All content, features, and functionality of WAChatAPI — including but not limited to the platform software, code, design, trademarks, logos, and documentation — are owned by WAChatAPI and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
9.2 Your Content
You retain ownership of all content you create and send through our platform, including message templates and business profile information. By using our platform, you grant us a limited, non-exclusive license to process and transmit your content solely to provide our services.
9.3 Feedback
If you provide feedback, suggestions, or ideas about our platform, you grant us the right to use such feedback without restriction or compensation to you.

Data and Privacy
Your use of WAChatAPI is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10.1 Your Responsibility for End-User Data
As a business using our platform to communicate with your customers, you act as a data controller for your end users' personal data. You are responsible for:
Complying with all applicable data protection laws for your customers' data
Maintaining your own privacy policy for your end users
Obtaining all necessary consents from your end users
Responding to your end users' data rights requests
10.2 Data Processing
WAChatAPI processes your data and your customers' data as described in our Privacy Policy. We act as a data processor on your behalf when processing your end users' data to deliver our services.

Service Availability and Uptime
We strive to maintain high availability of our platform, but we do not guarantee uninterrupted service. Our platform may be unavailable due to:
Scheduled maintenance (we will provide advance notice where possible)
Unplanned outages or technical issues
Third-party service interruptions (including Meta/WhatsApp API downtime)
Force majeure events
WhatsApp API Dependency: WAChatAPI depends on Meta's WhatsApp Cloud API infrastructure. We are not responsible for service interruptions caused by Meta/WhatsApp platform outages, policy changes, or API modifications.

Limitation of Liability
To the maximum extent permitted by applicable law:
WAChatAPI provides its services "as is" and "as available" without warranties of any kind, express or implied
We do not warrant that the service will be error-free, uninterrupted, or free of viruses
In no event shall WAChatAPI be liable for any indirect, incidental, special, consequential, or punitive damages
Our total liability to you for any claims arising from use of our platform shall not exceed the amount you paid us in the 3 months preceding the claim
This limitation applies regardless of the theory of liability (contract, tort, negligence, etc.) and even if we have been advised of the possibility of such damages.

Indemnification
You agree to indemnify, defend, and hold harmless WAChatAPI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
Your use of WAChatAPI in violation of these Terms
Your violation of any applicable law or regulation
Your violation of Meta's WhatsApp Business Policy or any Meta platform terms
Messages you send to your end users through our platform
Your infringement of any third-party intellectual property or privacy rights
Any dispute between you and your end users

Termination
14.1 Termination by You
You may terminate your account at any time by contacting us at support@wachatapi.cloud. Upon termination, your access to the platform will be disabled and your data will be handled in accordance with our Privacy Policy.
14.2 Termination by WAChatAPI
We may suspend or terminate your account immediately and without notice if:
You violate any provision of these Terms
You violate Meta's WhatsApp Business Policy
Your WhatsApp Business Account is suspended or banned by Meta
You engage in fraudulent, abusive, or illegal activity
Continuing to provide services to you would expose us to legal or regulatory risk
14.3 Effect of Termination
Upon termination, all licenses granted to you are revoked. Sections on intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
Update the "Last Updated" date at the top of this page
Send an email notification to your registered email address
Display a notice on our platform dashboard
Your continued use of WAChatAPI after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our platform and delete your account.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
